Hidden Places Terms of Service

1. ABOUT HIDDEN PLACES Hidden Places operates an online marketplace that enables owners, occupiers and authorised operators of land and other spaces ("Hosts") to advertise locations and experiences that may be booked by individuals or organisations ("Guests"). Hidden Places provides the technology and services that enable Hosts and Guests to discover one another, communicate and arrange bookings. Unless expressly stated otherwise, Hidden Places does not own, manage or control the places listed on the platform and is not the provider of the underlying land, venue, accommodation, activity or experience. 2. ACCEPTANCE OF THESE TERMS By creating an account, using the Hidden Places platform, making a booking, accepting a booking or otherwise using our services, you agree to these Terms of Service and any additional policies that apply to your use of the platform. Additional terms may include: • Host Terms; • Guest Terms; • Cancellation and Refund Policy; • Privacy Policy; • Cookie Policy; and • any specific rules or conditions clearly disclosed for a Place or Experience before booking. Where you are required to expressly accept a legal document, Hidden Places may record the version accepted, the date and time of acceptance, the account or booking associated with that acceptance and other relevant audit information. 3. ELIGIBILITY You must be at least 18 years old and legally capable of entering into a binding contract to create a Host account or make a booking. If you make a booking on behalf of an organisation or another person, you confirm that you have authority to bind that organisation or person to the applicable terms. 4. ACCOUNTS You must provide accurate and current information when creating and maintaining an account. You are responsible for maintaining the security of your account credentials and for activity carried out through your account. You must notify Hidden Places promptly if you believe your account has been accessed without permission. 5. THE ROLE OF HIDDEN PLACES Hidden Places provides a marketplace through which Hosts may offer Places and Experiences and Guests may request or make bookings. A booking creates a contractual arrangement between the relevant Host and Guest, subject to these Terms and the applicable booking conditions. Hidden Places is not a party to the Host's ownership or occupation of land and does not independently guarantee that every Place is suitable for every proposed use. We may provide payment processing, messaging, case management, cancellation, refund and other supporting services. 6. LISTINGS AND BOOKINGS Information displayed in a listing is supplied primarily by the Host. Guests must review the listing, facilities, restrictions, access information, cancellation terms and other relevant information before booking. Hosts are responsible for ensuring that listing information is accurate and not misleading. A booking is only confirmed when the booking process indicates that it has been accepted or confirmed in accordance with the platform's booking process. 7. PRICES, FEES AND PAYMENTS Prices and applicable charges will be displayed before a Guest confirms a booking. Hidden Places may charge service fees, commissions or other charges as disclosed through the platform. Payments may be processed by third-party payment service providers. Hosts and Guests are responsible for any taxes for which they are legally liable. 8. CANCELLATIONS AND REFUNDS Cancellations and refunds are governed by the Cancellation and Refund Policy, the terms displayed for the relevant booking and any applicable consumer law. Hidden Places may hold, release, refund or adjust payments where reasonably necessary to administer a cancellation, dispute, refund or resolution. 9. USER CONDUCT Users must not: • use the platform unlawfully or fraudulently; • provide false or misleading information; • interfere with the security or operation of the platform; • misuse another person's personal information; • use the platform to facilitate prohibited or unlawful activities; • attempt to avoid applicable Hidden Places fees by improperly moving a booking off-platform; or • behave in a threatening, abusive, discriminatory or seriously inappropriate manner towards another user or Hidden Places personnel. 10. SAFETY AND LEGAL COMPLIANCE Hosts and Guests must comply with laws, regulations, permissions and reasonable safety requirements applicable to their activities. Hidden Places does not grant planning permission, licences, land-use consent or regulatory approval merely by allowing a listing or booking to appear on the platform. 11. CONTENT Users may provide photographs, descriptions, reviews and other content. You retain ownership of content you own, but grant Hidden Places a non-exclusive licence to store, reproduce, display and use that content as reasonably necessary to operate, promote and improve the platform. You must have the right to upload any content you provide. 12. REVIEWS Reviews must reflect genuine experiences and must not contain unlawful, defamatory, threatening, discriminatory or deliberately misleading content. Hidden Places may moderate or remove content where reasonably necessary. 13. SUSPENSION AND TERMINATION Hidden Places may restrict, suspend or terminate access where reasonably necessary, including where: • these Terms have been materially breached; • fraud or unlawful activity is suspected; • users or the public may be at risk; • payment obligations remain unresolved; or • continued access could materially harm Hidden Places, another user or the platform. Where appropriate, we will take reasonable account of the circumstances before acting. 14. LIABILITY Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to applicable law, each Host remains responsible for the Place and Experience they provide, and each Guest remains responsible for their own conduct and compliance with booking conditions. Hidden Places does not guarantee uninterrupted availability of the platform or that every listing will meet every user's requirements. 15. DISPUTES AND RESOLUTION CENTRE Users should raise booking-related problems promptly. Hidden Places may provide a Resolution Centre through which information, messages and supporting evidence can be submitted. Hidden Places may assist in reaching or administering a resolution in accordance with the applicable terms and policies. 16. CHANGES TO THESE TERMS We may update these Terms from time to time. Material changes will be issued as a new version and will take effect from the stated effective date. Where appropriate, users may be required to accept a new version before continuing to use particular services. 17. GOVERNING LAW These Terms are governed by the laws of England and Wales, subject to any mandatory rights a consumer may have under the law applicable to them. 18.
